Draft pending legal review. These terms govern use of the Xenia public Site as of launch. A revised version with full counsel sign-off will replace this document. Material changes will be announced.

1. Acceptance

By accessing or using xeniadata.com (the "Site"), you agree to these Terms of Service. If you do not agree, do not use the Site.

2. About Xenia

Xenia is a structured hotel data product operated by Xenia, Inc., a Delaware corporation ("we," "us," or "our"). The Site is the public marketing presence for Xenia.

3. Use of the public Site

You may browse and read content on the Site for any lawful purpose. You may not: (a) crawl the Site outside the bounds of our robots.txt; (b) attempt to access non-public areas of our infrastructure; (c) misrepresent yourself in inquiry forms; (d) use the Site to harass or defame any party.

4. Partnership access

Access to Xenia's hotel data is offered separately under a partnership agreement and is not granted by these Terms. Data access requires a separate signed agreement specifying scope, permitted use, confidentiality, and licensing terms. Use of any partner-provided credentials is governed by the partnership agreement, not these Terms.

5. Intellectual property

The Site, the Xenia name and logo, the Xenia data methodology, and the Xenia source registry are owned by Xenia, Inc. or its licensors. Nothing in these Terms grants you a license to use any of the foregoing except as expressly authorized.

6. Hotel listings

If you are a hotel operator and your property is listed in our data product, you may at any time request to claim, correct, supplement, or remove your listing by contacting [email protected]. We will verify authority and respond within 5 business days for corrections and 30 days for delisting requests.

7. Confidentiality of methodology

Our complete data methodology, source registry, classification rules, and scoring system are confidential and proprietary. We share these only under written non-disclosure agreement. If you receive any confidential methodology materials, you are bound by the terms of the NDA you signed.

8. Disclaimer of warranties

The Site and any pre-release demonstrations are provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant accuracy, completeness, fitness for purpose, or non-infringement except as specifically set forth in a separate partnership agreement.

9. Limitation of liability

To the maximum extent permitted by law, Xenia, Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site.

10. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Disputes shall be brought in the state or federal courts located in Delaware.

11. Changes to these Terms

We may update these Terms. Material changes will be reflected here with a revised "Last updated" date.
